  2. ADDENDUM TO THE Airplane Shellac & Tile LIMITED PARTNERSHIP
  3. AGREEMENT 
  4.  
  5. Lois Piper, constituting all of the general partners of the
  6. Airplane Shellac & Tile limited partnership and June Avril,
  7. Chester Partsoff, constituting all of the limited partners of
  8. Airplane Shellac & Tile, agree: 
  9.  
  10. The general partners shall be indemnified by the partnership from
  11. all liability related to their actions taken on behalf of the
  12. limited partnership, provided that the actions to be indemnified
  13. were undertaken in good faith, and do not constitute criminal acts
  14. or any act of intentional misconduct. 
  15.  
  16. In the event that a dispute occurs between the limited partnership
  17. and a partner as to whether or not an action is properly subject
  18. to this indemnity the dispute shall be submitted to arbitration
  19. before a single arbitrator under the rules of the American
  20. Arbitration Association. Any decision rendered by the arbitrator
  21. shall be final and may be entered as a judgment in any court
  22. having jurisdiction.
